General Terms and Conditions

These terms and conditions (”Terms”) of agreement apply when B-Excellent AB (”B-Excellent” ExcellentGO, ExcellentONE) provides a project management system over the Internet (”Service”) to a company (”Customer”) on its website and via apps unless there is a separate written agreement. The Service is a web-based/mobile-based data system.

By registering for a user account and/or using the Service, the Customer accepts these Terms for the right to use the Service. A user who registers an account declares in the registration that they are authorized by the Customer to accept these Terms.

 

1. User Account

When registering for the Service, a personal user account is created with a user ID and a password.

The user can change their password at any time. The user is responsible for keeping login details secure to prevent unauthorized access. If unauthorized access is suspected, the user must immediately change their password.

The Customer is responsible for all usage of the Service that occurs through their user accounts.

Users who register a user account are responsible for having Customer authorization to enter contracts and perform actions associated with the Service.

 

2. The Service

The Service is described on B-Excellent’s website. B-Excellent reserves the right to develop and update the Service’s scope, design, and functionality.

B-Excellent may discontinue the Service with thirty (30) days’ notice.

The Customer is not entitled to a refund for paid subscription fees.

 

3. Price

The price of the Service is governed by a special agreement.

B-Excellent reserves the right to adjust prices with thirty (30) days’ notice. Changes take effect on the next payment date for active subscriptions.

 

 4. Payment

B-Excellent may invoice the Customer or charge a registered credit card.

The Service may be billed in advance. If payment is not received, the Service may be shut down without notice.

 

5. Usage of the Service / Good Practice Standards

The Service must only be used as described in these Terms.

The Customer and its users may not:

  • Copy, alter, or transfer the materials or rights related to the Service.
  • Post materials that harm B-Excellent or violate laws, copyrights, or policies.
  • Impersonate others or fraudulently access accounts.
  • Tamper with the security features of the Service.
  • Attempt to reverse-engineer the Service.
  • Disrupt or damage the Service’s functionality.

 

6. Support

Support and contact methods are listed on B-Excellent’s website.

Support is provided by email.

  • Email queries are answered within the following two (2) workdays.

Examples of included support:

  • Assistance with Service functionality
  • Addressing error messages or program failures

Excluded support:

  • Questions outside the Service’s scope
  • Administration or software configuration
  • Support for external software or systems

 

 7. Client Information

B-Excellent may update login credentials for technical or operational reasons, providing advanced notice to the Customer.

The Customer is responsible for providing accurate information and ensuring their users are informed about data use.

Customers must comply with B-Excellent’s privacy policy and data processing agreement.

8. Account Termination

B-Excellent reserves the right to close accounts immediately if section 5 is violated.

Once an account is closed, the Customer cannot access or manage the Service. Upon request and for a fee, data can be extracted in CSV or Excel format before closure.

B-Excellent may terminate accounts with three (3) months’ notice.

 

9. Contract Period and Termination

The contract is valid for one year with a 60-day notice period for termination. If not terminated, it renews annually.

Additional users added during the term create a new agreement period. Reductions in users are allowed only after the contract period ends, with written notice provided 60 days in advance.

 

10. Intellectual Property

Use of the Service does not transfer copyrights or intellectual property rights to the Customer.

 

11. Damages

B-Excellent is not liable for indirect damages such as lost earnings or irrecoverable costs. Total liability is capped at half a Swedish base amount (basbelopp) per calendar year.

B-Excellent is not responsible for data loss, viruses, or third-party liabilities.

 

12. Modification of Terms

B-Excellent may modify these Terms with thirty (30) days’ notice via email.

 

13. Complaints

Complaints must be submitted in writing within two (2) months of discovering the issue.

 

14. Force Majeure

B-Excellent is not liable for delays or failures caused by circumstances beyond their control, such as natural disasters, war, labor conflicts, or government actions.

 

15. Governing Law and Disputes

This agreement is governed by Swedish law. Disputes are resolved by arbitration under the Swedish Act on Arbitration, conducted in Malmö in Sweden.

 

16. Validity

These terms are effective from November 1, 2024, until further notice.
